Those that submit a proposal to PepsiCo's program must agree to the following terms:
Only non-confidential information can be included in your submission. By submitting a response, you represent and warrant that the response does not contain and will not be deemed to contain any confidential information of any kind and that you have the right to disclose this information to PepsiCo. Accordingly, no obligations whatsoever shall be created relating to your submission to PepsiCo. This includes, but is not limited to, no obligations on PepsiCo to maintain confidentiality, consider as proprietary, acknowledge receipt, review, respond or send back your submission. PepsiCo may, among other things, publish or disclose publicly any submission in any way it sees fit. Further, you acknowledge that PepsiCo, in its sole discretion, may select or reject a response or any portion thereof. Individuals and organizations wishing to engage with PepsiCo must first submit their non-confidential response via Halo. PepsiCo will not respond to or accept proposals made outside of Halo.
Nothing in this RFP or related to Halo obligates PepsiCo to implement, practice, license, purchase or provide any solutions, recommendations, inventions, intellectual property, products, concepts, systems, techniques, or services, or to enter into any relationship or agreement with any party responding to this Need Description (a "Respondent”). This RFP does not create a relationship of agency, partnership, joint venture, or license between PepsiCo and any Respondent. Respondent acknowledges that PepsiCo may currently or in the future be developing, acquiring, or licensing information inventions, intellectual property, products, concepts, systems, techniques or services similar to those being requested in this RFP. Accordingly, nothing in this RFP will be construed as a representation or agreement that PepsiCo will refrain from developing or authorizing another to develop any products, concepts, systems or techniques that are similar to those contemplated in this RFP.
